1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of OriaNest (the "App" or "Service"), operated by OriaNest LLC ("OriaNest," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use OriaNest on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

OriaNest is intended for women aged 18 and older. You must be at least 18 years old to create an account or use the Service.

You represent that the information you provide about your age and eligibility is accurate. OriaNest may suspend or terminate an account if we reasonably believe the account does not satisfy the eligibility requirements.

OriaNest is designed as a community for women. Eligibility and participation are based on the information users provide and the community standards described in these Terms and the Community Guidelines. OriaNest does not independently verify gender identity.

3. Description of the Service

OriaNest is a community platform that may allow users to:

create profiles and share posts, photos, videos, and journal entries;
view and contribute to Village, a local-area community feed;
join or create Groups around shared interests;
participate in Nest audio conversations;
follow other users and exchange direct messages; and
discover and interact with local events and businesses.

Features may be added, modified, suspended, or removed at any time.

Descriptions of features on the website or in marketing materials may describe planned or developing functionality and are not a guarantee that a particular feature will be available at launch.

4. Accounts and Account Security

You agree to provide accurate information and keep your account information reasonably current.

You are responsible for maintaining the security of your login credentials and for activity occurring through your account, except to the extent caused by OriaNest's failure to meet its legal obligations.

You must promptly notify us if you believe your account has been accessed without authorization.

You may not:

create an account for another person without authorization;
impersonate another person or entity;
create accounts for deceptive or abusive purposes;
use another person's account; or
maintain multiple accounts for deceptive purposes.

5. Location Information and Village

Village may use an approximate area associated with your account, such as a neighborhood or city, to determine local content and community experiences.

Where the feature operates as described, you may provide an approximate location manually or permit the device to provide location information for that purpose. OriaNest does not represent that every location-based feature will operate without collecting or processing technical location information necessary to provide the feature; our Privacy Policy explains the categories of location information actually collected and used.

You may update or remove your location information through available account settings. Removing or limiting location information may affect your access to location-based features.

You should not post your exact home address, real-time whereabouts, or other sensitive location information unless you intentionally choose to share it and understand the risks.

6. User Content

6.1 Ownership

You retain ownership of content you submit to OriaNest ("User Content"), including posts, photographs, videos, journal entries, comments, and other materials you create.

6.2 License to OriaNest

By submitting User Content, you grant OriaNest a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, distribute, and otherwise process that content as reasonably necessary to operate, maintain, secure, moderate, and provide the Service and the features you choose to use.

This license does not give OriaNest ownership of your User Content.

The license generally ends when the relevant User Content or account is deleted, except to the extent the content has been shared by other users, must be retained by law, is needed to establish or defend legal claims, or remains in backups for a limited period consistent with our retention practices.

6.3 Your Responsibility

You are responsible for the User Content you submit. You represent that you have the rights necessary to submit the content and that your content does not violate these Terms, the Community Guidelines, applicable law, or another person's rights.

7. Prohibited Content and Conduct

You may not use OriaNest to:

harass, bully, threaten, stalk, intimidate, or target another person;
promote or facilitate violence, exploitation, or illegal activity;
post sexually explicit content or sexual content involving or appearing to involve a minor;
impersonate another person or entity;
publish hateful or discriminatory content that violates the Community Guidelines;
infringe intellectual-property, privacy, publicity, or other rights;
distribute spam, scams, malware, or unauthorized advertising;
share another person's private information without authorization;
dox, expose, or threaten to expose personal information;
manipulate or deceptively alter information about another person;
use AI-generated, synthetic, or manipulated media to impersonate a real person or falsely represent their likeness, statements, or actions without appropriate authorization;
attempt to gain unauthorized access to another account or to the Service;
interfere with the operation or security of the Service;
scrape, harvest, or systematically collect information about other users except through features expressly provided by OriaNest;
use the Service for unlawful discrimination, fraud, or other unlawful purposes; or
encourage or assist another person in violating these Terms.

We may remove content, restrict features, suspend accounts, or terminate accounts when we reasonably determine that content or conduct violates these Terms, the Community Guidelines, applicable law, or threatens the safety or integrity of the community.

8. Groups and Community Spaces

Groups may be created and administered by users. Group creators and administrators are responsible for applying their Group rules consistently with these Terms and the Community Guidelines.

Groups may be public, private, or invite-only depending on the features available.

A private or invite-only Group is not a guarantee of confidentiality. Members may screenshot, copy, quote, or otherwise share content they can access. Do not share information in a Group that you would not want another participant to retain or disclose.

OriaNest may remove a Group or restrict a Group's features when necessary to enforce these Terms, protect users, or comply with law.

9. Direct Messages

OriaNest may allow members to send direct messages.

Depending on your settings, messages from people you do not follow may be placed into a request or otherwise restricted before you accept the conversation.

Direct messages should not be assumed to be confidential. Do not send passwords, financial information, precise location information, or other sensitive information to another member unless you understand the risks.

You may report or block users using available tools.

10. Nest and Live Audio

Nest may allow users to host and participate in live audio conversations.

By joining or speaking in a Nest, you understand that other participants may hear what you say in real time. Live conversations should not be treated as private or confidential unless OriaNest expressly says otherwise.

Users may not record, reproduce, redistribute, or publicly share another person's audio without appropriate authorization or as permitted by applicable law.

If OriaNest later introduces recording, transcription, automated summaries, or storage of Nest conversations, the Privacy Policy and these Terms will be updated to describe those practices before the feature is used.

11. Events, Businesses, and Third Parties

OriaNest may display or facilitate discovery of third-party events, businesses, venues, products, or services.

Third-party listings may contain information supplied by the relevant third party. OriaNest does not guarantee the accuracy, availability, safety, legality, quality, or suitability of a third-party event, business, venue, product, or service.

Your interactions or transactions with third parties are between you and the applicable third party unless OriaNest expressly states otherwise.

Use appropriate caution when attending an event or meeting another member in person. OriaNest does not conduct criminal background checks or guarantee the identity, character, conduct, or intentions of users or third parties.

12. Privacy and Visibility Controls

Our Privacy Policy explains how OriaNest collects, uses, stores, discloses, and protects personal information.

The Service may provide settings for profile visibility, post visibility, followers, messaging, location, and other features. These controls operate within the functionality of OriaNest and do not prevent another person from screenshotting, copying, photographing, or otherwise sharing content they can access.

13. Reporting, Blocking, Filtering, and Moderation

OriaNest provides or intends to provide tools that allow users to:

report content, accounts, Groups, and messages;
block users;
restrict unwanted interactions; and
use available content-safety or filtering controls.

We review reports using processes appropriate to the Service and may remove content, issue warnings, restrict features, suspend accounts, or terminate accounts.

We may use automated tools and/or human review to help detect prohibited or unsafe content. No moderation system is perfect, and we do not guarantee that all prohibited content will be identified or removed before you encounter it.

For urgent threats of physical harm or emergencies, contact the appropriate emergency services or law enforcement rather than relying on an OriaNest report.

14. Intellectual Property

The OriaNest name, logos, visual identity, software, design elements, and other materials provided by OriaNest, excluding User Content and third-party materials, are owned by or licensed to OriaNest.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from OriaNest's proprietary materials except as permitted by law or with our written permission.

Third-party trademarks belong to their respective owners.

15. Third-Party Services and App Stores

OriaNest may rely on third-party providers for hosting, databases, cloud storage, authentication, analytics, communications, payments, moderation, or other infrastructure.

Your use of third-party services may also be subject to their terms and privacy policies.

Apple App Store

If you download or access OriaNest through Apple's App Store, these Terms are between you and OriaNest, not Apple.

Apple is not responsible for the Service or its content and has no obligation to furnish maintenance or support services for OriaNest. To the extent required by Apple's applicable terms, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce applicable provisions as third-party beneficiaries.

Your use of OriaNest must also comply with applicable App Store terms and policies.

16. Paid Features, Subscriptions, and Purchases

OriaNest may offer paid features, subscriptions, events, or other purchases in the future.

If a paid feature is introduced, the applicable price, billing period, renewal terms, and material purchase conditions will be presented before purchase.

Where subscriptions are offered through Apple's App Store, billing, cancellation, renewal, and refund processes are subject to Apple's applicable terms and controls.

Deleting an OriaNest account does not necessarily cancel an Apple subscription. Users must manage or cancel subscriptions through the applicable platform's subscription controls.

Nothing in these Terms limits rights that consumers have under applicable payment, subscription, or consumer-protection laws.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIANEST DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT THE SERVICE WILL ALWAYS BE AVAILABLE, SECURE, ERROR-FREE, OR FREE FROM HARMFUL CODE, OR THAT USER CONTENT, THIRD-PARTY INFORMATION, EVENTS, BUSINESSES, OR USER INTERACTIONS WILL BE ACCURATE, SAFE, LAWFUL, OR APPROPRIATE.

NOTHING IN THESE TERMS DISCLAIMS OR LIMITS A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED OR LIMITED.

18. User Interactions and Assumption of Risk

OriaNest provides tools for people to connect, communicate, and potentially meet in person.

You are responsible for exercising reasonable judgment when interacting with other users or third parties, including when sharing personal information, arranging meetings, attending events, or participating in live conversations.

To the extent permitted by law, you assume the risks associated with voluntary interactions with other users and third parties.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORIANEST AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORIANEST'S MAXIMUM AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ORIANEST FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100 USD.

NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY THAT CANNOT LEGALLY BE LIMITED OR EXCLUDED.

20. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless OriaNest and its affiliates, officers, directors, employees, agents, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from or related to:

your violation of these Terms or the Community Guidelines;
your User Content;
your violation of another person's rights; or
your unlawful use of the Service.

This provision does not require you to indemnify OriaNest for liability caused by OriaNest's own conduct to the extent such indemnification is prohibited by applicable law.

21. Suspension and Termination

You may stop using OriaNest at any time and may request deletion of your account as described on our Delete Account page.

We may suspend or terminate an account, restrict access to features, or remove content when reasonably necessary to enforce these Terms, protect users, protect the Service, comply with law, or address security or abuse.

Where appropriate, we may provide notice or an opportunity to appeal a moderation decision. We may act without prior notice when immediate action is reasonably necessary to protect users, the Service, or legal rights.

Termination does not eliminate obligations that by their nature should survive termination.

22. Account Deletion

You may initiate deletion of your OriaNest account through the account-deletion controls provided in the App.

If OriaNest requires a web-based step to complete deletion, the App will provide a direct path to the deletion page.

When an account is deleted, OriaNest will delete the account and associated personal information that we are not legally required or otherwise permitted to retain, subject to the retention and deletion practices described in our Privacy Policy.

User Content associated with the account will be handled as described in the Privacy Policy and these Terms. Content that has been copied, quoted, reposted, or shared by other users may remain in their accounts or in their copies even after the original account is deleted.

If deletion takes additional time, we will provide information about the expected process and, where appropriate, confirmation when the deletion is complete.

If you have an active subscription purchased through a platform, deleting your OriaNest account may not cancel the subscription. Follow the platform's cancellation process.

23. Dispute Resolution

Informal Resolution. Before initiating a formal legal proceeding concerning a dispute arising out of or relating to OriaNest or these Terms, you and OriaNest agree to first attempt to resolve the dispute informally. You may initiate this process by sending written notice of the dispute to legal@orianest.app. OriaNest may send notice to you using the email address associated with your account or another reasonable method of contact.

You and OriaNest agree to allow 30 days from receipt of the notice to attempt to resolve the dispute informally, unless applicable law permits or requires a different period.

Arbitration. If the dispute cannot be resolved informally, then, to the extent permitted by applicable law, either you or OriaNest may elect to have the dispute resolved through individual, binding arbitration rather than in court. The arbitration will be conducted by a mutually agreed-upon arbitration provider under its applicable consumer arbitration rules. Unless otherwise required by applicable law, the arbitration may be conducted remotely.

The arbitrator may award the same individual remedies that would be available to a party in a court of law under applicable law.

Exceptions. Nothing in this section prevents either party from:

bringing an individual claim in small claims court, if the claim qualifies;

seeking temporary, preliminary, or emergency injunctive relief from a court when necessary to protect rights or prevent immediate harm;

reporting matters to governmental or regulatory authorities; or

pursuing any claim or matter that applicable law does not permit to be subject to arbitration.

Individual Proceedings. To the extent permitted by applicable law, arbitration and court proceedings under these Terms will be conducted only on an individual basis. Neither you nor OriaNest will participate in a class action, collective action, or representative action against the other, except where such a waiver is prohibited by applicable law.

Applicable Law. The Federal Arbitration Act will govern the interpretation and enforcement of this arbitration provision to the extent applicable.

Severability. If any portion of this dispute-resolution provision is determined to be unenforceable, the remaining portions will remain in effect to the extent permitted by law. If a particular limitation on class, collective, or representative proceedings is found unenforceable, that limitation will be severed or modified only to the extent necessary to comply with applicable law.

Right to Opt Out. You may choose to opt out of the arbitration provisions in this Section by sending written notice to legal@orianest.app within 30 days after first accepting these Terms. Your notice must include your name, the email address associated with your OriaNest account, and a clear statement that you are opting out of the arbitration provisions. Opting out of arbitration will not affect the other provisions of these Terms.

24. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

25. Changes to These Terms

We may update these Terms as the Service develops or as legal requirements change.

For material changes, we will provide notice through the Service, by email, or by another reasonable method before the changes become effective when required by law.

The updated Terms will display a new "Last updated" date. Your continued use of the Service after the effective date of updated Terms constitutes acceptance to the extent permitted by law.

26. Electronic Communications and Notices

You agree that OriaNest may provide notices and communications electronically, including through the App, website, or email associated with your account.

You are responsible for keeping your contact information reasonably current.

27. General Provisions

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

Waiver

A failure to enforce a provision does not constitute a waiver of the right to enforce it later.

Entire Agreement

These Terms, the Privacy Policy, Community Guidelines, and any other policies expressly incorporated into these Terms constitute the agreement between you and OriaNest concerning the Service, except where additional terms are expressly presented for a specific feature.

Assignment

You may not assign your rights or obligations under these Terms without our written consent. OriaNest may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or similar transaction, subject to applicable law.

Force Majeure

OriaNest will not be responsible for delays or failures caused by circumstances beyond our reasonable control, except where applicable law provides otherwise.
